Welcome to Continent Brands USA. These Terms of Service (“Terms”) govern your access to and use of our services, including our e-commerce representation, logistics support, government contracting services, and related offerings (collectively, the “Services”). By engaging with us, you (“you,” “your,” or “Client”) agree to comply with and be bound by these Terms.

1. Scope of Services

1.1 Manufacturer Representation

We represent manufacturers, importers, and wholesalers of home and lifestyle products (including but not limited to furniture, rugs, lighting, art, and accessories) on major e-commerce platforms such as Amazon, Wayfair, Home Depot, and Overstock. Services may include product listing, catalog management, order processing, customer service, and drop shipping coordination.

1.2 Government Contracting

We also provide contract bidding, procurement support, and supply chain services to government agencies and organizations.

1.3 Additional Services

At our discretion, we may offer consulting, marketing, logistics, and other support services as agreed upon in writing.

2. Client Responsibilities

2.1 Accurate Information

You agree to provide accurate, complete, and up-to-date information regarding your company, products, and compliance certifications.

2.2 Compliance

You are responsible for ensuring that your products and business practices comply with all applicable laws, regulations, and retailer/government requirements.

2.3 Product Fulfillment

If drop shipping or supply fulfillment is required, you must maintain inventory, packaging, and shipping standards as agreed upon.

3. Fees & Payments

3.1 Payment Terms

Fees, commissions, or service charges will be set forth in a separate agreement or purchase order. Unless otherwise specified, payments are due within [Net 30/Net 45] days of invoice date.

3.2 Government Clients

For federal, state, and municipal government clients, we accept purchase cards and net-term payments in accordance with contract requirements.

3.3 Late Payments

Unpaid invoices may incur late fees of [X% per month] and may result in suspension of services.

4. Intellectual Property

4.1 Client Materials

All trademarks, product images, and related content provided by the Client remain the Client’s property. By providing such materials, you grant us a non-exclusive, royalty-free license to use them solely for the purpose of fulfilling our Services.

4.2 Continent Brands Materials

Any software, processes, or proprietary tools we use remain our sole property.

5. Confidentiality

We agree to maintain the confidentiality of all non-public information provided by you, and you agree to do the same with respect to our business information. Exceptions include information required by law or publicly available data.

6. Warranties & Disclaimers

6.1 No Guarantee of Sales

While we leverage our expertise to maximize your sales and exposure, we do not guarantee sales volume, revenue, or government contract awards.

6.2 As-Is Services

All Services are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

7. Limitation of Liability

To the maximum extent permitted by law, Continent Brands shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or business opportunities, arising out of or related to the Services. Our total liability shall not exceed the fees paid to us in the three (3) months preceding the claim.

8. Term & Termination

8.1 Term

These Terms remain in effect until terminated by either party.

8.2 Termination

Either party may terminate Services with [30 days] written notice. We may immediately suspend or terminate Services if you breach these Terms or fail to make timely payments.

9. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of [County, Florida], unless otherwise required by a government contract.

10. Modifications

We reserve the right to modify these Terms at any time. Updated versions will be posted on our website with the “Effective Date” revised accordingly. Continued use of our Services constitutes acceptance of the updated Terms.
